Introduction

This document outlines the Terms of Service and License Agreement for Datatables for Laravel, a Package for Laravel applications. By purchasing, downloading, accessing, or using Datatables for Laravel ("Software") via https://laravel-datatables.com, you ("Licensee", "you", or "your") enter into a legally binding agreement with Morrow IT Consulting & Services ("Licensor", "we", "us", or "our").

If you accept this agreement on behalf of an employer or company, you warrant that you possess full legal authority to bind that entity to these terms. If you do not agree to these terms, do not purchase, download, or use the Software.

1. License Tiers & Scope of Use

Subject to full payment of the applicable license fee and ongoing compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable, worldwide license to use, modify, and integrate the Software according to the purchased license tier below:

A. License Tier Definitions

  • 1. Single App License:
    • Scope: Granted to one (1) designated individual developer for deployment in one (1) single production project, website, or application (owned by you or built for a single client).
    • Project Limitation: Building or deploying additional, distinct projects requires purchasing an additional license for each project.
  • 2. Unlimited License:
    • Scope: Granted to one (1) designated individual developer.
    • Project Scope: Permits the licensed developer to install, modify, and integrate the Software across an unlimited number of projects, websites, or applications (owned by you or built for clients).
  • 3. Team License:
    • Scope: Granted to a single organization or business entity.
    • Seat Capacity: Grants access to an unlimited number of developers employed by or contracted to the purchasing organization, with support for re-assignable developer seats within the organization.
    • Project Scope: Permits usage across an unlimited number of projects, websites, or applications developed by or for the organization.

B. Permitted Uses (All License Tiers)

  • You may incorporate the Software into commercial or non-commercial web applications, SaaS platforms, internal tools, or client deliverables within your tier's project limits.
  • You may customize, rewrite, or extend the source code of the Software to satisfy your project requirements.
  • You may distribute the Software in compiled, bundled, or obfuscated formats as an embedded sub-component of a larger application delivered to end-users, provided end-users cannot isolate, extract, or reuse the standalone code independently.

C. Restrictions (All License Tiers)

  • You may not share developer seats, license keys, or private Composer credentials with non-licensed third parties outside your designated tier limits.
  • You may not resell, sub-license, rent, publish, lease, or redistribute the Software (in whole or in part, original or modified) as a standalone asset, UI framework, component library, boilerplate starter kit, or competing developer product.
  • You may not publish or expose the uncompiled source code in public version control repositories (e.g., public GitHub/GitLab repositories or public package registries).

2. Intellectual Property Rights

All ownership rights, titles, copyrights, trade secrets, and intellectual property rights in and to the Software (including but not limited to source code, architecture, visual layouts, documentation, and brand assets) remain the exclusive property of the Licensor. All rights not explicitly granted under Section 1 are reserved.

3. Payment & Merchant of Record

All purchases, transactions, invoicing, tax collection, and billing management for the Software are processed by our authorized Merchant of Record, Paddle.com (Paddle.com Market Ltd or Paddle Payments Limited). By purchasing a license, you also agree to Paddle's Terms of Service and Privacy Policy.

4. Software Updates & Support Scope

  • Free Updates Forever: All valid license tiers (Single App, Unlimited, Team) include lifetime access to all future bug fixes, maintenance releases, feature updates, and major compatibility upgrades for the Software at no additional cost, for the duration of the product's lifecycle.
  • Limited Support: All license tiers include limited technical support provided electronically via support@morrow-it.services. Limited support covers basic installation guidance, bug reporting, and core package verification as documented in the official guidance. Limited support does not include custom feature development, general PHP/Laravel framework training, project-specific debugging, or custom code integration assistance.

5. Refund Policy & Right of Withdrawal

We offer a 14-day, no-questions-asked refund policy. If you are unsatisfied with the Software for any reason, you may request a full refund within 14 days of your initial purchase date by contacting us at support@morrow-it.services.

Refunds are processed and executed through our Merchant of Record, Paddle.com, back to your original payment method. Upon refund issuance, your software license and access rights are immediately revoked.

6. Limitations of Liability

  • The Licensor shall be liable without limitation for damages caused intentionally (Vorsatz) or by gross negligence (grobe Fahrlässigkeit), as well as for injury to life, body, or health.
  • In cases of simple or slight negligence (einfache Fahrlässigkeit), the Licensor shall only be liable for breaches of an essential contractual obligation (Kardinalpflicht)—defined as an obligation whose fulfillment enables the proper performance of the contract in the first place and on whose compliance you routinely rely.
  • In cases of slight negligence under Clause 6.2, our aggregate liability shall be limited to foreseeable, typical contractual damages, capped at the total fee paid by you for the Software license.
  • Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.

7. Applicable Law & Court Jurisdiction

This Agreement, its interpretation, and any non-contractual obligations or claims arising out of or related to it shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and conflict of law principles.

To the extent permitted by law, the exclusive venue and place of jurisdiction for all legal disputes arising from or in connection with this agreement shall be the courts having jurisdiction for the location of the Licensor, provided you are a business merchant (Kaufmann), a legal entity under public law, or a special public fund.

8. Severability Clause (Salvatorische Klausel)

Should any provision of this Agreement be held invalid, unenforceable, or void by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic purpose of the original clause.

10. Changes to This Policy

We may update the Terms of Service and License Agreements from time to time to reflect technical improvements or changes in legal requirements. The latest version will always be available on our website.
